Plain-English summary. Social AI Poster is a tool that helps you draft social media content using AI, which you then copy and post yourself. You are responsible for what you publish. The service is provided "as is", we are not a law firm or marketing agency, and this document is a template — you should have it reviewed by a qualified attorney in your jurisdiction before relying on it commercially.
1. Who we are and what these Terms cover
These Terms of Service ("Terms") are a binding legal agreement between you ("you", "your", or "User") and Lone Star AI Solutions LLC, a limited liability company that operates the Social AI Poster product and the socialaiposter.com website and services ("Social AI Poster", "we", "us", or "our"). They govern your access to and use of our website, applications, APIs, AI features and any related services (collectively, the "Service").
By creating an account, clicking "Sign up", or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a contract.
- If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
- You must provide accurate information, keep your login credentials confidential, and are responsible for all activity that occurs under your account.
- You must notify us promptly of any unauthorized access or suspected breach of your account.
3. The Service
The Service uses artificial intelligence to help you generate and review social media content (including captions, hashtags and image ideas) intended for use on third-party platforms such as Instagram and Facebook. Today the Service does not connect to your social media accounts and does not publish content on your behalf; you copy generated content and post it manually. We may add integrations for direct publishing in the future.
We may add, change, suspend or discontinue features at any time. We will use reasonable efforts to notify you of material changes that adversely affect paid features.
4. Acceptable use
Social AI Poster is intended for lawful small-business marketing and ordinary brand communications. You agree not to, and not to allow any third party to, use the Service for prohibited, deceptive, harmful, regulated or abusive activity, including to:
- use the Service to violate any law, regulation or third-party right;
- publish content that is unlawful, defamatory, harassing, hateful, discriminatory, deceptive, obscene, sexually explicit involving minors, or that infringes intellectual property, privacy or publicity rights;
- promote or facilitate violence, terrorism, human trafficking, exploitation, self-harm, illegal drugs, weapons sales, counterfeit goods, gambling where unlawful, or other illegal products or services;
- impersonate any person or entity, misrepresent your affiliation, or engage in fraud, scams, deceptive advertising or unlawful multi-level marketing;
- generate or distribute spam, malware, phishing content, credential-harvesting content, fake reviews, fake engagement, misleading endorsements, or content designed to manipulate elections, civic processes, public health information or financial markets;
- make regulated claims, including medical, financial, legal, insurance, employment, housing, credit or investment claims, unless you have the required approvals, disclosures and professional review;
- violate the terms, policies or community standards of any connected platform (including Meta's Platform Terms, Community Standards and Advertising Policies);
- upload or request generation of content containing personal data, confidential information or third-party materials unless you have the right and lawful basis to use that information;
- reverse engineer, decompile, scrape, or attempt to derive the source code, models, weights or underlying data of the Service, except where such restriction is prohibited by law;
- use the Service to build a competing product, or to train, fine-tune or benchmark other AI models;
- interfere with or disrupt the Service, its infrastructure, or other users, including via denial-of-service attacks, excessive automated requests, or circumvention of rate limits or security controls.
We may investigate suspected violations and cooperate with law enforcement. We may suspend or terminate accounts, or remove content, that we reasonably believe violate these Terms.
5. Your content and license to us
"User Content" means any information, text, images, prompts, business details, brand assets, connected-account data and other materials you submit to, generate through, or publish via the Service.
You retain all ownership rights in your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, adapt, transmit, display and distribute your User Content solely as necessary to operate, maintain, secure, improve and provide the Service to you (including sending it to AI model providers and connected social platforms to fulfill your requests).
You represent and warrant that you own or have all necessary rights, licenses and permissions to your User Content and that our use of it as described will not violate any law or third-party right.
6. AI-generated content
The Service uses large language models and other AI systems (including third-party models). AI output is generated automatically and may be inaccurate, incomplete, offensive, biased, out of date, or infringe third-party rights. It is not professional legal, medical, financial or other advice.
You are solely responsible for reviewing, editing and approving any AI-generated content before publishing it, and for ensuring that it complies with all applicable laws, platform policies, advertising regulations and industry standards (including disclosure of endorsements, health claims, financial promotions and similar requirements).
To the extent we have rights in AI output generated for you, we assign those rights to you subject to your compliance with these Terms. Because the same or similar output may be generated for other users, we make no exclusivity or originality guarantees.
7. Third-party platforms and integrations
The Service generates content intended for use on third-party platforms such as Meta (Instagram and Facebook), and relies on third-party providers such as Google (sign-in) and AI model providers. Your use of any third-party platform is governed by its own terms and privacy policies, and you are responsible for complying with them (including Meta's Platform Terms, Community Standards and Advertising Policies) when you post generated content. We are not responsible for third-party platforms, their availability, or actions they take against your accounts (including suspensions or removals).
The Service does not currently connect to your Instagram or Facebook account and does not publish on your behalf. If we add optional integrations that require you to connect an account, you will authorize us to access, store and use tokens and data from those platforms solely to provide the Service, and you may revoke access at any time from your account settings or from the platform itself.
8. Subscriptions, fees and refunds
Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax collection, cancellations and refunds are governed by Paddle's Checkout Buyer Terms.
- Some features require a paid subscription. Prices, features and billing cycles are described at checkout and may change on notice.
- You authorize us and our payment processors to charge your payment method on a recurring basis until you cancel. Subscriptions renew automatically at the then-current price.
- You can cancel at any time from your account. Cancellations take effect at the end of the current billing period. Except where required by law, fees are non-refundable and partial-period fees are not prorated.
- You are responsible for all applicable taxes and for any fees your bank or card issuer charges.
- If a payment fails, we may suspend paid features until the payment method is updated.
9. Free trials and beta features
We may offer free trials or beta features. They may be modified or discontinued at any time, are provided "as is" without warranties, and may have additional terms disclosed at sign-up. If you do not cancel before a trial ends, we may automatically convert you to a paid subscription.
10. Intellectual property
The Service, including its software, design, text, graphics, logos, and all other content we provide (excluding your User Content), is owned by Social AI Poster or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose in accordance with these Terms. All rights not expressly granted are reserved.
11. Feedback
If you send us feedback, ideas or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without restriction or compensation.
12. Privacy
Our Privacy Policy explains how we collect, use and share personal information. By using the Service, you consent to those practices.
13. Disclaimers
The Service, including all AI output, is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI output will be accurate or suitable for your purposes. We do not warrant any specific results, engagement, reach, conversions, revenue or business outcomes.
Some jurisdictions do not allow the exclusion of certain warranties; in that case, the exclusions apply to the maximum extent permitted by law.
14. Limitation of liability
To the maximum extent permitted by law, in no event will Social AI Poster, its affiliates, officers, employees, agents, suppliers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, or account suspensions or terminations on third-party platforms, whether based in contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100).
The limitations in this section form an essential basis of the bargain between you and us. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions our liability is limited to the greatest extent permitted by law.
15. Indemnification
You will defend, indemnify and hold harmless Social AI Poster and its affiliates, officers, employees, agents, suppliers and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms; (d) your violation of any law or third-party right, including intellectual property, privacy, publicity or platform terms; and (e) content you publish through the Service.
16. Termination
You may stop using the Service at any time and close your account from your settings. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the Service.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including sections 4–8, 10, 11, and 13–20) will survive.
17. Changes to the Service and to these Terms
We may modify these Terms from time to time. If we make material changes, we will notify you (for example by email or in-app notice) and update the "Effective date" above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service.
18. Governing law and dispute resolution
These Terms are governed by the laws of the jurisdiction in which the operator of Social AI Poster is established, without regard to conflict-of-law principles. You and we agree to submit to the exclusive jurisdiction of the competent courts of that jurisdiction for any dispute not subject to mandatory consumer-protection rules of your country of residence.
Where permitted by law, any dispute will be resolved on an individual basis; class actions and class arbitrations are waived. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer.
19. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede any prior agreements.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
- No waiver. Failure to enforce any right is not a waiver.
- Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Relationship. Nothing in these Terms creates a partnership, agency, joint venture or employment relationship.
